Confidentiality
We treat all information supplied by you as strictly confidential and have enclosed an outline on how all confidential information is defined, the duty of both parties and the accuracy pertaining to the submission of any information.

1. Confidential Information
- For the purposes of any working relationship that Dovetail HRS enjoys with it's clients, Confidential Information shall include but not be limited to commercial, financial, technical, operational or other information in whatever form (including information disclosed orally) disclosed directly or indirectly by one party (the Disclosing Party) to the other (the Receiving Party) or obtained (in whatever manner) by the Receiving Party directly or indirectly from the Disclosing Party. The term shall not, however, include:
- information in the public domain at the time of disclosure;
- information which passes into the public domain after disclosure through no act or default of the Receiving Party;
- information communicated to the Receiving Party by a third party who has the lawful right to do so without any duty to respect any right of confidence of the information;
- information which (prior to the time of disclosure) was known to or had been independently generated by the Receiving Party;
- information, which is required to be disclosed by virtue of law or regulation.
2. Duty of Confidence
- In consideration of the disclosures by both parties of the Confidential Information, in each case the Receiving Party agrees to maintain at all times the confidential nature of the Confidential Information, and
- except solely as strictly necessary for the purposes set out hereto, not to:
disclose the Confidential Information to any person; or use the Confidential
information for any purpose; and
- except solely as reasonably necessary for the purposes set out hereto, not to make
any copies (in whatever form) of the Confidential Information;
- unless it has the express written consent of the Disclosing Party.
- Before any Confidential Information is disclosed to a person in accordance with Clause 2.1 above, the Receiving Party shall inform each such person of the obligations of the Receiving Party under this Agreement and require such persons to comply with them.
Accuracy of Confidential Information
The Disclosing Party makes no representations or warranties, express or implied, regarding the completeness, quality or accuracy of its Confidential Information. Each party hereby agrees that the other shall have no responsibility or liability for any loss or damage resulting from use of, or reliance on, the other's Confidential Information.
